1. Acceptance of Terms

By accessing or using the website and services of SILA Global Solutions LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. These Terms constitute a legally binding agreement under the laws of the State of Michigan.

2. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wayne County, Michigan. This agreement is subject to the Michigan Consumer Protection Act (MCL 445.901 et seq.) and all applicable Michigan statutes.

3. Services Description

SILA Global Solutions LLC provides business consulting, endorsement and sponsorship facilitation, and managed services. All services are provided "as is" and are subject to individual service agreements. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.

4. Limitation of Liability

To the maximum extent permitted by Michigan law, SILA Global Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising out of or related to your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the three (3) months preceding the claim.

5. Indemnification

You agree to indemnify, defend, and hold harmless SILA Global Solutions LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.

6. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of SILA Global Solutions LLC and is protected by applicable U.S. and Michigan intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Confidentiality

Any proprietary or confidential information shared between the parties during the course of a business relationship shall be kept strictly confidential and shall not be disclosed to any third party without prior written consent. This obligation survives the termination of any service agreement and is enforceable under Michigan contract law.

8. Disclaimer of Warranties

To the fullest extent permitted by Michigan law, SILA Global Solutions LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the matter to binding arbitration under the American Arbitration Association rules, with proceedings conducted in Wayne County, Michigan. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Michigan.

10. Termination

We reserve the right to terminate or suspend your access to our services at our sole discretion, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under Michigan law, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12. Amendments

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
